Letterman got what he wanted with CBS anyway. I feel like NBC wants a 'clean' and play-it-safe host for the Tonight Show. Conan may have been too much for them. I love Conan as well.
Letterman also wanted his company to own the show, a demand Leno didn't make. Also for months, maybe years before the decision was made, Letterman was antagonistic toward NBC/GE managers and Leno wasn't. Both of those, plus Leno having an agent, led to the network siding with him. She had a signed agreement with NBC promising The Tonight Show gig to Leno long before the decision was publicly announced. There were also questions about whether or not Letterman could temper his late-late night act for the more mainstream late night audience.
Letterman did get what he wanted out of CBS because they had nothing going on for late night and were in a weak position. They weren't in much of a position to bargain with him, coming off the heels of the Pat Sajak Show

I forgot that the Pat Sajak show was a thing. I never saw it, but there was a point in time when I knew about it. I think Letterman did great with CBS. That was a network that was known for having an 'older' audience and it seemed like they wanted someone like Letterman to bring in a younger demographic. Letterman did actually do that. There were a few times when they did beat Tonight Show ratings, but overall Tonight Show was generally number one late night entertaining show.

Yes they did. NBC had The Tonight Show, ABC had Nightline (which held strong ratings as well), and CBS had nothing, so they gave him a deal he couldn't refuse.

That was NBC's decision alone. Carson didn't have a say in it and Leno had an agent politicking for him and Letterman relied on his producers to do that until it was too late
Leno had been the permanent guest host on the Tonight Show for years. He hosted every Monday and was actually getting better ratings than Carson in the key demo despite having worst guests. He was a proven success in that time slot whereas Letterman was still a gamble. Leno ultimately won the war, which proves that NBC was right all along. Jay and Leno both wanted the same job. Leno was objectively the right choice and he did nothing wrong.
