Kevin Feige doesn't want to release four MCU movies in one year and would rather release it in 2026 alongside Avengers: The Kang Dynasty. He's also too busy with Marvel's ongoing projects to take on another one, but Rothman isn't willing to wait for him.
Marvel wants a street-level adventure where Spider-Man and Daredevil team up against the Kingpin, Sony wants another Multiverse-themed film featuring Tobey Maguire, Andrew Garfield and SUMC characters like Venom and Kraven.
Sony wants to bring Jon Watts back as the director even though he doesn't appear to be interested, Marvel would rather someone else take over the franchise and is courting Watts for a different gig.
Tom Holland is also signaling he'll depart the franchise after Spider-Man 4 and the next two Avengers films, so Amy Pascal has already approached Feige about setting Sony's planned live-action Miles Morales film in the MCU and having him take over as its Spider-Man after Holland leaves.
At this point, it might be more beneficial for Sony to create standalone Spider-Man movies that are ACTUALLY independent of the MCU and truly focus on the character of Spider-Man as a truly unique character from the ground-up using a different actor in a distinct world, crafting an entirely new and original Spider-Man narrative that incorporates the desired qualities from both Miles Morales and Peter Parker. They could initiate an "Elseworlds" trilogy, similar to what DC has done with Matt Reeves' Batman. Think about it: reworking Spider-Man's concept from the core facets only so they can focus on what works. He could be an Asian-American diet-Peter Parker who lives in Chicago doing his own stuff, but keeping absolutely everything essential to the original concept of Spider-Man intact. They do that, outdo Marvel, and let them keep Tom Holland for one more movie as they then get Miles Morales in the MCU for them (and make money from Marvel basically doing said film for them per their contract). Another option could be allowing Sony to exclusively retain Miles Morales, as they have demonstrated they can at least do SOME things half-interesting with him compared to Marvel/Disney.
And if I'm wrong and this could NEVER work, seriously, tell me why. I believe it can if handled properly. It'd just give Sony more influence over the IP in the long-haul.

And the further problem is that marvel is in such a state that their films have a very decent chance of souring the brand. If they do good stuff (they won't) then audiences will take the mcu films as the "real" spiderman. If they do bad stuff, it just makes audiences dislike the character and lose interest.
But there isn't really a better option when you're playing with such a terrible hand.

Sony cannot make good live action Spider-Man movies. If they wanted to try, they would--nobody put a gun to their head and made them partner with Disney. Tom Holland is divisive sure but I hate that he wants to leave after the 4th movie. I always envision the 4th is the start of a new trilogy showing an older Peter while sowing the seeds for Miles. Hell even I thought Thor 4 would be the start of a new trilogy before Love & Thunder ruined it and now Hemsworth wants Thor 5 to be his last.
