The show's presentation of Tom is colored by the myopia of the main characters, who all believe that the company should be theirs by birthright -- distracting them from the fact that it's a business and what matters most is maximizing the value of the business. Tom is presented as a sycophant buffoon because that's how they view him when in reality he has the competence and actionable drive that all of the siblings lack. They lost the kingdom that they thought was theirs by right because they were distracted from the administration of that kingdom by their squabbling over that right.

            It goes without saying that you need to be competent too. Tom's competence is completely defined and dictated from above. He has no passions or ideologies himself. He simply executes what his superiors demand from him. So "competent" or "successful" sycophancy may be the more complete term. It's why there are so many Indian CEOs these days. None of them were capable of running the company and with the constant infighting it's practically impossible for the leadership to function. They would've run the company into the ground.     It makes perfect sense. If Kendall becomes CEO then the struggle continues, Shiv knows that the "fiefdom" idea is not going to work because she and Ken are both too ambitious and self-centered to allow it to. Roman is clearly out of the game, he wants to be free of the constant back-stabbing and venom-slinging that they've been embroiled in -- but Shiv will still butt heads with Ken at every turn and their conflict won't be resolved by a token gesture of marginal ceded territory. If she backs Ken, she's signing up for more warfare, more strife. If she doesn't back Ken, she still doesn't get what she wants but her position is at least cemented and she is free to maneuver from there. She's also right that Ken isn't cut out for the job -- and he proved that with his reaction to the situation. He's a force of chaos despite his occasional charisma and episodes of competence, but he doesn't have the killer instinct that would be necessary to balance that out. Knowing that the choice for CEO is Tom makes her decision a much easier one given that Tom being CEO serves her interests. Ken being CEO effectively maintains the status quo, it isn't a path toward resolution. Shiv's motivation isn't that she actually wants to run the company, its that she wants a chance at what she feels like she deserves and has always been deprived of. She just wants to beat Ken. And she did.

    Her saying that and bring up the dead kid were just smokescreens. The reality is that she could see Ken reveling in it and didn't like that. She resented it. She can't stand him. He made all of it about him with only token offerings for the siblings. The first things he says during the side meeting are that he needs to do this and he's good for this.

    If Ken focused instead on placating her resentment here and focused on offerings and fiefdoms or whatever he could have swayed her but he melted down and sperged out.

    she was always going to protect Tom. she's a daddy's girl and Tom plays that role for her, someone that will do things for her, and now is even capable of setting limits when she pushes him too hard.
    it happened before. On the most tense episode thus far, called "This is not for tears", Logan said to Shiv: "this is the sort of sacrifice people in very senior positions need to make", then gave her a choice between Kendall or Tom to pay for cruises, and with teary eyes she said "I can't choose. Just not Tom. Please, for me". She couldn't sacrifice Tom, and therefore sacrificed her own standing as future successor.
